1. Acceptance of terms

These Terms of Service ("Terms") are a binding agreement between you and SCAFFWORKS Scaffolding Industry LLC ("SCAFFWORKS", "we", "us", "our"), a company licensed in the United Arab Emirates with operations in Umm Al Quwain. By accessing or using scaffworks.com, the BOQ Builder, the Rental Calculator, or any related digital tool we provide (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to both you personally and that entity.

2. About our services

SCAFFWORKS manufactures cuplock scaffolding standards, ledgers, and accessories at our UAE facility, and provides scaffolding and formwork supply, rental, erection, and engineering-design services across Dubai, Sharjah, Ajman, Umm Al Quwain, and Ras Al Khaimah. The website and tools described in these Terms exist to help customers learn about our offering, plan projects, and request quotes. They do not by themselves form a contract for the supply of equipment.

3. Use of the website

You may use the website only for lawful purposes and only as permitted by these Terms. You agree not to:

• Use the website in any way that violates UAE law or any other applicable law
• Attempt to gain unauthorised access to any part of the website or related systems
• Interfere with or disrupt the website or the servers and networks connected to it
• Scrape, harvest, or collect information from the website by automated means without our written permission
• Use any robot, spider, or other automated device to monitor or copy any part of the website
• Introduce viruses, trojans, worms, logic bombs, or other malicious code

4. BOQ Builder and Rental Calculator

The BOQ Builder helps you compile a bill of quantities by selecting items from our published catalog and entering quantities, conditions, origins, and notes. The Rental Calculator provides estimated rental pricing based on inputs you provide. These tools are made available to assist your project planning. You agree that:

• Outputs are estimates only. Catalog descriptions, indicative pricing, lead times, and rental calculations are non-binding. Final pricing, availability, and lead times are confirmed only in a written quotation issued by SCAFFWORKS.
• You are responsible for your inputs. Quantities, dimensions, and specifications you enter are your responsibility. We accept no liability for losses arising from incorrect inputs.
• You retain your BOQ data. Drafts saved in the BOQ Builder are stored in your browser's local storage. We only receive your BOQ when you choose to send it to us (for example, via the "Request Quote" button).
• We may update the tools without notice. We may change the catalog, calculations, formulas, or features of the tools at any time. We aim to keep them accurate but do not warrant that they are free from error.

5. Quotes and orders

Submitting a quote request through the website, by WhatsApp, by email, or by any other channel is an invitation to treat — not a binding offer. A contract for the supply, sale, or rental of equipment is formed only when:

1. We issue a written quotation specifying products, quantities, prices, lead times, and commercial terms, and
2. You confirm acceptance of that quotation in writing, or you sign a separate sales or rental agreement we provide.

The terms of that quotation or contract — including payment terms, delivery, warranties, deposit, insurance, and return conditions for rental items — govern the supply relationship and prevail over anything inconsistent on the website.

6. Intellectual property

All content on the website — including text, graphics, logos, photographs, product specifications, blog articles, datasheets, designs, software code, and the SCAFFWORKS name and brand — is owned by SCAFFWORKS or our licensors and is protected by UAE and international intellectual-property laws.

You may view, download, and print content for your internal business use related to a Scaffworks project, quote, or enquiry. You may not:

• Reproduce, republish, or redistribute content commercially without our written permission
• Remove or alter copyright, trademark, or proprietary notices
• Use the SCAFFWORKS name or logo in a way that suggests endorsement or affiliation without our permission
• Use our content to train machine-learning models without our written agreement

7. Your content and submissions

When you send us a BOQ, project description, drawing, photograph, message, or any other material through the Services, you grant SCAFFWORKS a worldwide, royalty-free, non-exclusive licence to use that material for the purpose of responding to you, fulfilling any resulting contract, and improving our services. You confirm that you have the right to share the material with us and that the material does not infringe anyone else's rights.

8. Prohibited uses

You agree not to use the Services in any way that:

• Submits false, misleading, fraudulent, or impersonating information
• Floods our team with spam, abusive, or repetitive enquiries
• Attempts to circumvent rate limits, security measures, or access controls
• Probes, scans, or tests the vulnerability of our systems
• Violates the rights of third parties (including intellectual property and privacy)
• Engages in any activity that could harm our reputation or business

We may suspend or terminate access to the Services at our discretion if we believe these Terms have been breached.

9. Third-party links and services

The website may contain links to third-party websites, applications, or services (for example, WhatsApp, Google Maps, LinkedIn). These are provided for convenience. SCAFFWORKS does not control these third parties, does not endorse their content, and is not responsible for their availability, accuracy, or practices. Your use of third-party services is governed by their own terms and privacy policies.

10. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, SCAFFWORKS disclaims all warranties of any kind, whether express, implied, or statutory, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the above, we do not warrant that:

• The Services will be uninterrupted, error-free, or completely secure
• Any defects in the Services will be corrected
• Content (including catalog items, prices, and technical information) is accurate, complete, or current
• The Services will meet your requirements

Nothing in these Terms excludes or limits any warranty, condition, or liability that cannot be excluded or limited under UAE law.

11. Limitation of liability

To the maximum extent permitted by law, SCAFFWORKS and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages — including (without limitation) loss of profits, revenue, business opportunity, goodwill, or data — arising out of or related to your use of, or inability to use, the Services.

Our total aggregate liability to you for any claims arising out of these Terms or the Services is limited to the amount you have paid us in the 12 months preceding the event giving rise to the claim, or AED 1,000, whichever is higher.

This limitation does not apply to liability that cannot be excluded under UAE law (for example, liability for death or personal injury caused by negligence, or for fraud).

12. Indemnification

You agree to defend, indemnify, and hold harmless SCAFFWORKS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your misuse of the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason — including (without limitation) if we believe you have breached these Terms. On termination, the provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you through the website. Your continued use of the Services after a change becomes effective means you accept the updated Terms. If you do not accept the changes, you should stop using the Services.
